PLEASE READ POOKI’S MAHI’S VIP RESELLER DISTRIBUTOR POLICY TERMS (“TERMS”) CAREFULLY. THIS POLICY APPLY TO YOU AND YOUR PURCHASE OF ANY PRODUCTS FROM POOKI’S MAHI THROUGH ITS ECOMMERCE OR MCOMMERCE SITE (“WEBSITE”), LOCATED AT WWW.POOKISMAHI.COM, WWW.SUBSCRIPTIONS.POOKISMAHI.COM, WWW.CUSTOM.POOKISMAHI.COM AND SUBDOMAINS UNDER WWW.POOKISMAHI.COM ("SITE"), EXCEPT TO THE EXTENT THAT YOU HAVE ENTERED INTO A SEPARATE WRITTEN AGREEMENT WITH POOKIS MAHI THAT SUPERSEDES SOME OR ALL OF THESE TERMS. THESE TERMS ARE SUBJECT TO CHANGE WITHOUT PRIOR WRITTEN NOTICE AT ANY TIME, IN POOKI’S MAHI’S SOLE DISCRETION. BY PLACING AN ORDER FOR PRODUCTS THROUGH THE SITE, YOU AGREE TO BE BOUND BY AND ACCEPT THE TERMS AND CONDITIONS IN EFFECT AT THE TIME OF SUCH ORDER. ALL SALES ARE EXPRESSLY CONDITIONED UPON YOUR AGREEMENT TO THESE TERMS IN ADDITION TO POOKI’S MAHI'S TERMS OF USE.

BY USING POOKI’S MAHI SITES YOU ARE AGREEING TO OUR USE OF COOKIES AS DESCRIBED IN THE COOKIE POLICY AND ALL POLICIES.  ALL POLICIES ARE INTERTWINED.

IF YOU DO NOT AGREE TO POOKI’S MAHI COOKIE POLICY TERMS AND CONDITIONS, THEN YOU MAY NOT ACCESS THE SITES OR USE ANY SERVICES.  

Any new features or tools which are added to the current store shall also be subject to the Terms of Service and Cookie Policy. We reserve the right to update, change or replace any part of Pooki’s Mahi VIP Reseller Distributor Policy by posting updates and/or changes to our site. It is your responsibility to check this page periodically for changes. Your continued use of or access to our sites following the posting of any changes constitutes acceptance of those changes.

Pooki’s Mahi® does not outsource sales management. There are three options to qualify toresell ordistribute Pooki’s Mahi® products.

  • Option 1 - Resellers: Resellers and distributors must qualify through Pooki’s Mahi® strict Reseller or Distributor process which includes due diligence and a thorough background check. Certificate Insurance (also known as Business Insurance), Resellers Permit, and Tax ID are required.
  • Option 2 - Distributors: Firms must be anapproved reseller. In addition to the reseller requirements Pooki’s Mahistrict requirements - require Distributors own their fulfillment center, sell $85K USD per month of Pooki’s Mahi Kona coffee pods, have a customer success team, have a technical platform or team of technologists, provide 12-18 month forecast, self-sufficient in digital marketing, own product merchandising, and submit minimum orders for 280 units or 1 pallet (also known as 1 case).
  • Option 3 - BuyPooki’s Mahi® VIP Reseller Distributor Pricing: Customers buying Pooki’s Mahi VIP Reseller Distributor Price are firms unable to qualify as a reseller or distributor through Pooki’s Mahistrict Reseller process orstricter Pooki’s Mahi requirements.


Pooki’s Mahi® VIP Reseller Distributor Policy covers financial instruments with expiration date, onboarding process and operations management for Pooki’s Mahi team to consistently fulfill VIP Reseller Distributor orders such as  Refund Policy, specialty products, fulfillment, shipping, order management, customer success, inventory management, Q4 order forecast requirements, and product merchandising.Customers are purchasing an e-gift card redeemable for specialty coffee sold or fulfilled on PookisMahi.com at VIP Reseller Distributor pricing.No refunds.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.
 
OVERVIEW
Pooki’s Mahi® VIP Reseller Distributor Pricing Program provides firms an opportunity to buy and/or resell Pooki’s Mahi 100% Kona coffee pods at distributor pricing without meeting thestrict reseller requirements or submitting the minimum order required for distributors. Customers buying Pooki’s Mahi VIP Reseller Distributor Price are firms unable to qualify as a reseller or distributor through Pooki’s Mahistrict Reseller process orstricter Pooki’s Mahi requirements.

Firms are unable to resell Pooki’s Mahi 100% Kona coffee pods, speciality products, etc. because the companiesdo not want to submit required documentation through Pooki’s Mahi Reseller qualification process. Many firms fail to meet Pooki’s Mahistrict Distributor requirements: own fulfillment center, sell $85K USD per month of Pooki’s Mahi Kona coffee pods, have a customer success team, have a technical platform or team of technologists, provide 12-18 month forecast, self-sufficient in digital marketing, own product merchandising, and submit minimum orders for 280 units or 1 pallet (also known as 1 case).

Pooki’s Mahi® does not outsource sales process or sales operations. Pooki’s Mahiis not dependent on large traditional retailers like national grocery stores or non-technical distributors lacking an online digital presence to grow Pooki’s Mahi® direct to consumer sales channels. Pooki’s Mahi owns the brand and customer journey.

1 - VIP RESELLER DISTRIBUTOR PRICING ENROLLMENT REQUIREMENTS
Pooki’s Mahi® VIP Reseller Distributor Pricing is open to any firm or customer. Firm or customer does not need to submit the following required documentation: Certificate of Insurance (COI) also known as business insurance, Federal Tax ID, Resellers Permit. Pooki’s Mahi® is also open to any customer who wants to buy bulk coffee podswithout reselling Pooki’s Mahi 100% Kona coffee pods.

 

2 - FINANCIAL INSTRUMENTS, PAYMENT
Pooki’s Mahi® VIP Reseller Distributor Pricing costs$5000 USD. Pooki’s Mahi reserves the right to modify the price based on feedback from existing resellersand approved reseller distributors.

Pooki’s Mahi® VIP Reseller Distributor Pricing is aneGift. Customers buying Pooki’s Mahi® VIP Resellers Distributor Pricing are purchasing an e-gift card redeemable for Pooki’s Mahi® 100% Kona coffee pods, specialty products, single-origin coffee, etc. sold or fulfilled on PookisMahi.com at VIP Reseller Distributor pricing. No refunds.

Customers are purchasing an e-gift card redeemable for Pooki’s Mahi® 100% Kona coffee pods, specialty products, single-origin coffee, etc. sold or fulfilled on PookisMahi.com at VIP Reseller Distributor pricing.eGift cards cannot be discounted, returned or redeemed for cash. Any special discounts will not be applied to egift cards and they cannot be used towards a sale amount in order to gain a discount or promotion. eGift cards can not be used to buy egift cards or to add value to egift cards. Lost cards cannot be replaced, please treat like cash.Purchase of egift cards constitutes acceptance of these terms and conditions.

 

3 - NO REFUNDS OR CASH REDEMPTION
Pooki’s Mahi® VIP Reseller Distributor Pricing is aneGift card. No refunds. Pooki’s Mahi VIP Reseller Distributor Pricing eGift card holders have two (2) years to sell Pooki’s Mahi 100% Kona coffee pods, or specialty products.If the current VIP Reseller Distributor Pricing is priced at $5000.00 then the number units (boxes) is calculated as the following:$5000 / $38 (distributor price) = 131.58 units. 132 / 24 months = 5.48 or 6 units per month.

 

4 - VIP RESELLER DISTRIBUTOR PRICING TERMS AND CONDITIONS
Pooki’s Mahi® VIP Reseller Distributor pricing does not apply to products sold on Pooki’s Mahi Coffee Subscriptions or Private Label Products platforms.Specialty products include but not limited to 100% Kona coffee subscriptions, private label coffee, private label tea, custom pods, promotional products, private label products or egift cards. Refer to VIP Reseller Distributor Policy for additional details. Purchase of VIP Reseller Distributor Price (egift card) constitutes acceptance of these terms and conditions.

 
5 - PRODUCTS FOR VIP RESELLER DISTRIBUTION PRICING
Products sold by Pooki’s Mahi through approved distributors are available for Pooki’s Mahi VIP Reseller Distribution Pricing. New product launches are available in limited quantities for the VIP Reseller Distribution program.

Products approved for the VIP Reseller Distribution Pricing: 100% Kona coffee pods, luxury single-origin coffee, white truffle salt, black truffle salt, natural rock sugar.

Products available in limited quantities: Matcha Matcha Man®

New Product Launches available in limited quantities: Koffee KaKao™, Kona Kakao™, Guava DragonStorm™, Guava DragonBerry™, Mellow DragonBerry™, tea pods, single-origin coffee pods.

Pooki’s Mahi reserves the right to modify the products included in the VIP Reseller Distributor Pricing program based on feedback from approved reseller distributorsand at any time without notifying customers.

 

6 - PRODUCTS EXCLUDED FOR VIP RESELLER DISTRIBUTION PRICING
Products sold on Pooki’s Mahi Private Label platform (https://custom.pookismahi.com) and eGift cards areexcluded from the VIP Reseller Distribution program. Private label products, custom products and promotional products are custom designed. Private label products are not available for resellers or distributors.

Productsexcluded from VIP Reseller Distribution Pricing:eGift Cards, private label products, promotional products, custom products, private label tea pods, private label coffee pods, custom coffee pods, custom tea pods.

Pooki’s Mahi reserves the right to modify the productsexcluded from the VIP Reseller Distributor Pricing program.
 

7 - ONBOARDING PROCESS
Step 1: Customers purchase Pooki’s Mahi VIP Reseller Distributor Pricing egift card.
Step 2: Pooki’s Mahi Wholesale team will assign “distributor” tagand send a “Welcome to Pooki’s Mahi VIP Reseller Pricing” to the customer. The welcome email is sent to the customer’s email used to purchase the egift card. VIP Reseller Distributors will receive a .zip file containing Pooki’s Mahi product photos andbasic data feed.
Step 3: Customer logs into PookisMahi.com to submit orders.
Step 4: Orders are processed according to priority.

8 - EXPIRATION - TWO (2) YEARS
VIP Reseller Distributors have two (2) years to sell Pooki’s Mahi 100% Kona coffee pods, etc.

$5000 / $38 (distributor price) = 131.58 units. 132 / 24 months = 5.48 or 6 units per month. Pooki’s Mahi sells through 131+ units within one month.


9 - OPERATIONS, INVENTORY MANAGEMENT, CUSTOMER SUCCESS
Fulfillment: Drop shipping included at $0 charge.Pooki’s Mahi fulfills orders in the following priority: (1) Coffee subscriptions (2) Wholesale coffee club orders (3) Private label products / custom promotional product orders (4) Distributors (5) Resellers

Shipping:Free shipping to USA Lower 48 states.Additional shipping fees of ~$35 per box to Hawaii and Alaska, and ~$125 per box to Puerto Rico, Mexico, Canada.VIP Reseller Distributors must pay for expedited shipping or shipping orders outside the USA Lower 48 states like to customers located in Hawaii, Alaska, Australia or Mexico. Pooki’s Mahi reseller platform https://pookismahi.com willcharge shipping for orders outside USA lower contiguous 48 states.

Order Management: Orders received via https://pookismahi.com by 9:00am PT will ship the next business day. Pooki’s Mahi follows USA and California holiday schedules. No fulfillment or operation services on weekends (Saturday or Sunday) and on US holidays like New Years Day, Memorial Day, or Fourth of July.

Inventory Management: No special requests. Pooki’s Mahi manages inventory for all direct to consumer channels according to corporate policies. Pooki’s Mahi operates on lean supply chain, just in time manufacturing principles with a master demand schedule. Pooki’s Mahi does not manufacture 100% Kona coffee pods that cannot be sold within a quarter. VIP Resellers Distributors are buying $5000 of inventory to be shipped when needed. Orders are fulfilled when payment if received in full through Pooki’s Mahi VIP Reseller Distributor e-gift card.

Q4 Order Forecast DUE August 1st: VIP Reseller Distributorsmust submit estimated orders by August 1st to mitigate un-natural increases in sales orders. Pooki’s Mahi approved Distributors and Resellers submits an estimated forecast by August 1st per Pooki’s Mahi Distributor Policies. Pooki’s Mahi replenishes Q4 inventories based on a master demand schedule. Pooki’s Mahi replenished Q4 inventories over twelve times in previous years.

Customer Success: Pooki’s Mahi handles customer questions for orderssubmitted via https://pookismahi.com  Pooki’s Mahi does NOT provide support for orders sold by resellers on online retailers like Amazon, eBay, etc. Pooki’s Mahi owns the product catalogue for top retailers.


10 - PRODUCT RETURNS, PRODUCT REFUND POLICY
Product Returns, Product Refund Policy: Pooki’s Mahi has a NO RETURNS policy. Pooki’s Mahi accounting will approve refund requests per Pooki’s Mahi Returns & Refund Policy.


11 - PRODUCT MERCHANDISING DELIVERABLES
Pooki’s Mahi owns product merchandising on all major retailers. Product merchandising is broken into two areas: product photos on awhite background, and data feed.  Pooki’s Mahi reserves the right to modify the list ofexcluded product merchandising deliverables from the VIP Reseller Distributor Pricing program.

Approved Deliverables: VIP Reseller Distributors will receive a .zip file containing Pooki’s Mahi product photos on awhite background and abasic data feed during the onboarding process. Thebasic data feed will contain name of product, product description, SKU (part number), UPC and will follow Google’s product listing requirements. All communication are handled through Pooki’s Mahi Customer Success (CX) center.

Not Approved / No Access Deliverables:VIP Reseller Distributor customers will not have access to Pooki’s Mahi lifestyle photography, New Product Introduction (NPI) services, Go-To-Market (GTM) Services, or customer data per Pooki’s Mahi Privacy Policy, and Online Policies. Pooki’s Mahi defines GTM Services as Pooki’s Mahi press releases, press media, access to celebrities or journalists, administrative access to Pooki’s Mahi social media accounts.

Scraping any deliverables listed on Pooki’s Mahi “Not Approved / No Access Deliverables” list for customer’s use may lead to Pooki’s Mahi terminating participation in the VIP Reseller Distributor Pricing programand additional legal action per Pooki’s Mahi Online Policies.

 

12 - NO ACCESS TO POOKI’S MAHI SALES OPS PIPELINE
Pooki’s Mahi does not allocate or provide marketing budget to VIP Reseller Distributor customers.VIP Reseller Distributor customers are responsible for growing their own customer base.

Pooki’s Mahi does not drive sales to VIP Reseller Distributors, Resellers or Distributors. Roadmaps and budgets are for https://pookismahi.com, Pooki’s Mahi Coffee Subscriptions (https://subscriptions.pookismahi.com), Pooki’s Mahi Private Label Products (https://custom.pookismahi.com) platforms.


13 - eGIFT CARD TERMS AND CONDITIONS
Pooki’s Mahi® VIP Reseller Distributor pricing does not apply to products sold on Pooki’s Mahi Coffee Subscriptions (https://subscriptions.pookismahi.com) or Private Label Products (https://custom.pookismahi.com) platforms. Specialty products include but not limited to 100% Kona coffee subscriptions, private label coffee, private label tea, custom pods, promotional products, private label products or egift cards. Refer to VIP Reseller Distributor Policy for additional details. Purchase of VIP Reseller Distributor Price (egift card) constitutes acceptance of these terms and conditions.


14 - BUSINESS INSURANCE
Customers participating in the VIP Reseller Distributor Pricing program are responsible for providing business insurance.

Pooki’s Mahi does not provide business insurance for VIP Reseller Distributor customers. Pooki’s Mahi Certificate of Insurance covers Pooki’s Mahi products sold by Pooki’s Mahi directly to customers on PookisMahi.com and through approved reseller distributors. An agreement signed between Pooki’s Mahi and larger customers exists. Pooki’s Mahi lists the large customer as part of Pooki’s Mahi Certificate of Insurance.


14 - EXPECTATIONS FOR VIP RESELLER DISTRIBUTORS
Customers participating in the VIP Reseller Distributor Pricing program follow Pooki’s Mahi Online Policies and VIP Reseller Distributor Pricing Policy.

Pooki’s Mahi reserves the right to terminate relationships with VIP Reseller Distributor customers that do not adhere to the online policies.


15 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY
Refer to Pooki’s Mahi Terms of Service for more information. Section covers Disclaimers of Warranties and Limitation of Liability found in Pooki’s Mahi Terms of Service Policy.

We do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error-free.

We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable. You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you.

 

You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all products and services delivered to you through the service are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

In no case shall Pooki's Mahi, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.


16 - INDEMNIFICATION

You agree to indemnify, defend and hold harmless Pooki's Mahi and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.


17 - SEVERABILITY
Section covers Severability found in Pooki’s Mahi Terms of Service Policy. Refer to Pooki’s Mahi Terms of Service for more information.

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.


18 - TERMINATION

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).


19 - GOVERNING LAW
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of 548 Market St. #60634 California US 94104-5401.


20 - CHANGES TO TERMS OF SERVICE
You can review the most current version of the VIP Reseller Distributor Policy at any time at this page.

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes to these Terms of Service constitutes acceptance of those changes.


21 - CONTACT INFORMATION
Pooki’s Mahi is honest and transparent with all policies per our cultural manifesto.  Our approach minimizes wasted time and unwarranted requests from suppliers, vendors and manufacturers who refuse to follow Pooki’s Mahi’s RFI (Request For Information) or RFP (Request For Proposal) process or customers who attempt to negotiate minimums and pricing for our custom pods and private label coffee pods or is not a cultural fit (waste Pooki’s Mahi’s time).  We expect customers to understand why we follow strict processes or rules.

Kona Coffee Pods Cost Guidelines

Pooki's Mahi™ passes additional fees to customers who buy from online retailers like Amazon, Walmart, Jet, Overstock, etc. Pooki's Mahi® approved one online retailer to sell our 100% Kona coffee pods close to the Wholesale Coffee Club price.

PookisMahi.com pricing:  Cheap Kona coffee prices (subscriptions), lowest Kona coffee price for customers unable to commit to coffee subscriptions (wholesale coffee club), and Refer A Friend programs to earn additional discounts.

Additional Fees Passed To Customer: Fulfillment (10%), transportation, subscribe 'n save (10%), product listing maintenance/merchandising (15%), lightning deals or discounts (5%). Any fee increase levied by the retailer will be passed to the customer. Customers buying Pooki's Mahi Kona coffee pods on online retailers must pay for Standard or Expedited Shipping.
